1. Scope and priority of documents

Service provider: Administració i Formació d’Empreses, S.L., Spanish tax ID B55315980, trading under the registered figurative trade mark AIFE® (OEPM M4164020).

These terms govern use of aife.cat and provide a general framework for consulting, software development, data integration, digitisation, training, maintenance and other professional services. The website includes a supervised electronic contracting procedure, not automatic purchasing. Submitting a request does not create an engagement: AIFE® reviews it and decides whether to request further information, reject it or authorise preparation of a quotation. Each project is ultimately defined in an accepted quotation and the specific contract and annexes, which prevail over these terms where they differ.

2. Requests, analysis and acceptance

To prepare a proposal, AIFE® may request information about processes, users, systems, data, integrations, restrictions, deadlines and objectives. The client is responsible for providing sufficient and lawful information.

The proposal may define scope, phases, deliverables, exclusions, price, taxes, payment, timetable, dependencies, responsibilities, validation, support, maintenance and licensing. An assignment is accepted when AIFE® receives express acceptance and, where required, the initial payment or documentation.

The system does not allow a contract to be generated or sent to the client until a specific quotation version has been accepted. After that acceptance, AIFE® reviews the data, selects the applicable annexes and expressly approves issue of the contract.

Acceptances and signatures may be completed using a one-time code sent to the verified email address. The system retains the document and version, SHA-256 fingerprint, express statement, date and time, declared identity and role, encrypted IP address, browser information and audit trail. This mechanism provides evidence and integrity but is not presented as a qualified electronic signature.

The person accepting or signing declares that they have legal capacity and, when acting for an entity, sufficient authority to represent it. A trust service provider or digital certificate may be used for higher-risk transactions or where requested by a party.

3. Delivery, validation and scope changes

AIFE® will perform services with professional diligence and according to the agreed scope. Dates may depend on access to data, people, systems, environments, materials or client decisions. New requests, changed criteria, unforeseen data or extra integrations may require a separate estimate and approval.

AIFE® may use phased, prototype or iterative delivery. Approval of a phase allows the project to progress and prevents previously validated decisions from being reopened without treating them as a change.

4. Prices, taxes and payment

Prices and payment terms are those in the accepted proposal. Unless stated otherwise, amounts exclude VAT and other applicable taxes. Third-party services are included only when expressly stated. Relevant non-payment may lead to proportionate suspension after notice, without prejudice to accrued amounts and legal rights.

5. Client duties and cooperation

  • Appoint authorised contacts able to validate decisions.
  • Provide timely access, data, samples, equipment, temporary credentials and information.
  • Test results in the real environment and with real use cases.
  • Maintain backups and continuity plans for systems under its control unless expressly contracted.
  • Ensure lawful rights and legal bases for data, content and systems provided to AIFE®.
  • Avoid unnecessary credentials or data and revoke access when no longer needed.

Unavailable dependencies, defective data or undisclosed changes may require revised timing and budget.

6. Intellectual property, code and components

The proposal determines the regime for project-specific deliverables: assignment, licence, right of use, source-code delivery or other conditions. AIFE® retains rights in pre-existing know-how, methodologies, libraries, tools and reusable components. Third-party code and services remain subject to their own licences and terms.

7. Confidentiality and data protection

Each party will keep non-public project information confidential and use it only for the relationship. Each party is responsible for the data processing it determines. Where AIFE® processes personal data on the client’s behalf, the parties will enter into a data-processing agreement when required.

Real personal data should not be used in testing where anonymised, pseudonymised or fictitious data can achieve the same purpose.

8. Warranties, support and liability

Correction, maintenance and support periods are those stated in the proposal. Without an active maintenance service, extensions, environment changes, third-party updates or out-of-scope incidents are quoted separately.

AIFE® is liable for direct damage proven to result from an attributable breach, within agreed and lawful limits. No limitation excludes fraud, gross negligence or liability that cannot legally be restricted. Critical systems require explicit agreement on availability, backup, recovery, monitoring and continuity.

9. Suspension, termination, force majeure and law

Termination is governed by the proposal or contract and does not remove the duty to pay for services performed, authorised third-party commitments or obligations that survive by nature. Neither party is liable for delay caused by events outside its reasonable control where it gives notice and takes proportionate mitigation steps.

The relationship is governed by Spanish law. Where jurisdiction may legally be agreed between businesses or professionals, the courts of Girona shall have jurisdiction, without prejudice to mandatory rules.
